The service

Opencomplai is free, open-source software licensed under the AGPL-3.0 License, available today via pip install opencomplai.

We also offer a hosted service for businesses: the Opencomplai dashboard at app.opencomplai.com. Access to the hosted service is only available on paid plans, sold under a separate order form or agreement. These terms, our Data Processing Agreement and the order form or agreement govern its use. If an order form or agreement conflicts with these terms, the order form or agreement prevails. To discuss a plan, see our Pricing page.

The hosted service is offered exclusively to businesses and organisations under a paid order form or agreement, and is not available to individual consumers.

Acceptable use of this website

When using the product updates form, the contact form, or repo chat features on this site, you agree not to:

• submit false or misleading information;
• scrape, abuse, or attempt to overload these features;
• attempt to guess, brute-force, or share repo chat access codes with anyone they weren't issued to;
• use these features for any unlawful purpose.

We may suspend or revoke access to these features, including repo chat access codes, at our discretion, including for suspected abuse.

Acceptable use of the hosted service

If you have a paid subscription to the hosted service, your use of it is also governed by your order form or agreement, which may include additional acceptable use terms specific to your plan. In addition to any terms in your order form, you agree not to:

• attempt to reverse-engineer, decompile, or circumvent access controls on the hosted service, other than as permitted by the AGPL-3.0 License for the underlying open-source software;
• use the hosted service in a way that places unreasonable load on our infrastructure, including automated or bulk usage inconsistent with normal use;
• use the hosted service, or any data or access obtained through your account, to build or support a competing product or service.

If your order form or agreement includes more specific or additional acceptable use terms, those terms apply alongside this clause; in the event of a direct conflict, your order form or agreement prevails.

Open-source license

The Opencomplai software itself is licensed separately under the AGPL-3.0 License, available at github.com/Opencomplai/opencomplai. These website terms do not modify or restate that license, the license terms in the repository govern your use of the software.

The hosted service runs the same underlying compliance engine as the open-source Opencomplai software. In accordance with Section 13 of the AGPL-3.0 License, the corresponding source code for the version running the hosted service is available to hosted service users at app.opencomplai.com

Ownership

Except for the open-source Opencomplai software (governed by the AGPL-3.0 License) and any content you submit to us, all content on this website, including text, graphics, logos, and the Opencomplai name and brand assets are owned by CheckRef Ltd or its licensors and may not be used without our permission.

No legal advice

Opencomplai's classifications, risk assessments, and other outputs, including those relating to the EU AI Act, NIST AI RMF, and ISO/IEC 42001 are provided for informational purposes only and do not constitute legal advice. You remain solely responsible for your own compliance determinations, and we recommend consulting a qualified professional before relying on any output for a compliance decision.

Limitation of liability

To the maximum extent permitted by law, Opencomplai and its team are not liable for any indirect, incidental, or consequential damages arising from your use of this website or the software, including damages arising from reliance on classification outputs. The software is provided “as is”, without warranty of any kind, as set out in the AGPL-3.0 License.

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under English law.

Indemnification

If you have a paid subscription to the hosted service, you agree to indemnify and hold CheckRef Ltd harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these terms, your order form or agreement, or your misuse of the hosted service, including from data or content you submit to it.

We agree to indemnify and hold you harmless from any claims that the hosted service, as provided by us and used in accordance with these terms, infringes a third party's UK intellectual property rights, except to the extent the claim arises from your modification of the hosted service, your combination of it with other products or services not provided by us, or your breach of these terms.

These indemnification obligations do not apply to the open-source Opencomplai software, which is provided under the AGPL-3.0 License and governed by its own warranty and liability terms.

Miscellaneous

These terms, together with our Privacy Policy, Cookie Policy, and (where applicable) our Data Processing Agreement and any order form, constitute the entire agreement between you and CheckRef Ltd regarding your use of the website and open-source software, and supersede any prior agreements on that subject.

If any provision of these terms is found unenforceable, the remaining provisions continue in full force.

You may not assign or transfer your rights under these terms without our consent. We may assign or transfer these terms in connection with a merger, acquisition, or sale of assets.

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control.

Governing law

These terms, and any dispute arising from them or from your use of the website or software, are governed by the laws of England and Wales, and are subject to the exclusive jurisdiction of the courts of England and Wales.

Termination

We may suspend or terminate your access to features of this website, including repo chat access codes, at any time, with or without notice, particularly in cases of suspected misuse.

Changes to these terms

We may revise these terms from time to time; the “Last updated” date at the top of this page reflects the latest revision.
